LOAN AGREEMENT
THIS LOAN AGREEMENT, made and entered into this 15 day of April , 2020, by and between Eastside Distilling, Inc. (collectively, “Borrower”) and Live Oak Banking Company (“Lender”).
W I T N E S S E T H
WHEREAS, of even date herewith, Lender and Borrower have entered into that certain U.S. Small Business Administration (“SBA”) loan wherein the Lender agreed to provide a loan (the “Loan”) to Borrower for up one million, forty four thousand, five hundred and 00 / 100 DOLLARS ($ 1,044,500.00__________________) under the Paycheck Protection Program offered by the SBA under the Coronavirus Aid, Relief, and Economic Security Act (CARES Act), section 7(a)(36) of the Small Business Act; and
WHEREAS, in order to loan funds to Borrower, Lender enters into this Loan Agreement with Borrower for the purposes herein contained; and
NOW, THEREFORE, for and in consideration of the premises, the sum of Ten ($10.00) Dollars and other good and valuable consideration the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
ARTICLE I
AMOUNT AND TERMS OF LOAN
1.1 RECITALS. Each of the above recitals are hereby incorporated into and made a part of this Agreement by this reference.
1.2 LOAN AND NOTE. The term “Loan” herein shall refer to the indebtedness of Borrower to Lender evidenced by a Note in the original principal amount of one million, forty four thousand, five hundred and 00 / 100 DOLLARS ($ 1,044,500.00) in form satisfactory to Lender (the “Note”).

融資契約
本融資契約は、イーストサイドディスティリング社（Eastside Distilling, Inc. ）（総称して「借主」）とライブオークバンキングカンパニー社(Live Oak Banking Company)（「貸主」）間で2020年4月15日に締結され、
以下のとおり証する。
本書同日付で、貸主と借主は、米国中小企業局(SBA)の特定融資を締結し、その契約の中で貸主は借主に、コロナウィルス支援・救済・経済安全保障法（CARES Act）、中小企業法第7条1-36に基づき、SBAが提供する給与保護プログラムで、1,044,500.00米ドル（＄1,044,500.00）までの融資を行うことで合意し、
貸主は、借主に資金を融資するために、借主と本契約に含まれる目的のために本融資契約を締結し、
よって、10ドル(＄10.00)と他の正当で貴重な対価の総額受領と充足の承認を本契約の約因として、両当事者は以下のとおり合意する。
第1条 融資の額と融資条件
1.1契約書前文 上記各前文は本契約により本契約に組み込まれ、本参照記号によって本契約の一部になる。
1.2融資と覚書 本契約において「融資」とは、貸主が納得する形（覚書）で当初元本額＄1044500（百四万四千五百ドル）を覚書で明示した借主の貸主への負債を指すものとする。
