Source text - English أ. لا يحق لأي مساهم القيام بنقل أو التصرف (عدا ما سيتم بيانه في الفقرة (ج) فيما سيأتي) أو إقراض أي من الأسهم أو أي فائدة من أي من الأسهم، وذلك باستثناء عمليات النقل التي تمت بموجب المادة (5) والمادة (6).
ب. لأغراض تتعلق بالتخلص من الشك، فإنّه يسمح للمساهمين من دون أية قيود إقراض أسهمهم لمصلحة بنك أو مؤسسة مالية بغرض توفير ضمان لتمويل أو إعادة تمويل الشركة.
ج. يقر المساهمون بأنّهم عازمون على بيع أسهمهم سويّة لواحد أو أكثر من المستثمرين. إلا أنّ الأطراف يتفقون على أنّ أيًا من الأطراف له الحق في البيع قبل تاريخ إتمام الاتفاقية لواحد أو أكثر من المشترين من أطراف خارجية (عملية البيع السابقة لإتمام الاتفاق). وتخضع عملية البيع السابقة لإتمام الاتفاق للقيود التي تتضمنها الاتفاقية وغيرها من الوثائق المتعلقة بالمشروع أو عملية التمويل الخاصة به. وفي حال عدم وجود عملية بيع سابقة لإتمام الاتفاق في التاريخ الموافق لإتمام الاتفاق المالي أو قبله، فإنه يكون للعضو الجديد الحق في ممارسة خيار البيع (كما هو معرف في سيأتي) وفق أحكام المادة 6/6 من هذه الاتفاقية.
د. مع الأخذ بالاعتبار للشروط المبينة في المادة (6) فإن أسهم الشركة ستنقل من خلال تنفيذ صك نقل بالشكل المحدد فيما يلي بشرط أن يتم توقيعه لدى مراقب الشركات أو كاتب العدل أو لدى محام نظاميّ في المملكة، حيث يتم إعداد هذا الصك وتسجيله لدى مراقب الشركات ويتم نشره ودفع الرسوم المترتبة عليه. ولن تكون عملية النقل هذه نافذة إلا إن تم إعدادها وتسجيلها ونقلها وفقًا لما سبق.
Translation - Arabic No shareholder shall have the right to transfer, dispose (except as described in Paragraph (C) below) or lend any share or any interest of any of the shares, except for transfers carried out according to Article (5) and Article (6)
A. In order to avoid confusion, shareholders are allowed, without any restriction, to lend their shares for the benefit of a bank or financial institution to provide a guarantee for financing or re-financing the company.
B. Shareholders shall declare that they have the intention to sell their shares together to one or more of the investors. However, parties shall agree that any of them shall have the right to sell before the date of concluding the agreement with one or more of third party buyers (sale prior to the conclusion of the agreement). Sale prior to the conclusion of the agreement shall be subject to the restrictions included in the agreement and other documents related to the project or its finance. In case no sale was carried out prior to the conclusion of the agreement on the date which was agreed upon to conclude the financial agreement or before, the new member shall have the right to execute the sale option (as identified below) pursuant to the provisions of Article 6/6 hereof.
C. In consideration of the terms set out in Article (6), shares of the company shall be transferred through the execution of a transfer instrument in the form specified below, provided that it will be signed by the companies controller, the notary or a attorney in the Kingdom, as this instrument shall be prepared and registered by the companies controller, and shall be published and the fees incurred shall be paid. The transfer shall not come into effect unless it was prepared, registered and transferred accordingly.
