Очень часто при написании протоколов разногласий приходится сталкиваться с удивлением со стороны представителей контрагента. Те говорят, что их юристы никогда не пишут протоколы разногласий, или же, что их компания работает только по своему типовому договору и не рассматривает никакие предложения по его изменению.
В таких случаях всегда хочется позвонить коллеге, инициировавшему договор (это может быть сотрудник отдела продаж или отдела закупок и т. п.), и сказать, чтобы искали другого контрагента, с которым будет проще работать. Но такая возможность есть не всегда – выбор контрагента, как правило, зависит от экономических соображений компании.
Поэтому юристам на этапе написания и согласования протокола разногласий нужно быть в первую очередь медиаторами, причем не только с контрагентами, но и со своими собственными коллегами. И тем и другим приходится зачастую объяснять, что при всей экономической выгоде готовящегося договора ряд его положений все же нужно изменить, так как они создают для организации слишком большие риски.

Нужно посмотреть, какие риски могут возникнуть из-за такого договора и как их нивелировать.
Пример необоснованных требований контрагента на стадии заключения договора
В конце 2011 года компании с государственным участием стали рассылать своим контрагентам требования о раскрытии конечных бенефициаров под угрозой расторжения договора.
Гражданский кодекс РФ не предусматривает такую обязанность по уже заключенным договорам.
Более того, требование рассылалось для служебного пользования на основании постановления Правительства РФ, не прошедшего регистрацию в Минюсте России и противоречившего Гражданскому кодексу РФ и федеральному законодательству.
В то же время угроза расторжения договора была вполне реальна.
В такой ситуации организациям, получившим такие письма, оставалось только взвесить, с одной стороны, риски, вызванные раскрытием такой информации, и издержки по ее предоставлению, а с другой – важность сохранения договора именно с этим контрагентом. Нужно было проверить также, есть ли у госкомпании-контрагента право на односторонний отказ от исполнения договора. Ведь непредоставление запрошенной информации о конечных бенефициарах никак не могло служить формальным основанием для расторжения договора.
Кроме того, всегда нужно помнить, что даже договоры компаний-монополистов недействительны в той части, которая противоречит законодательству. А значит, даже если на стадии заключения договора пришлось согласиться на несправедливое условие, противоречащее законодательству, впоследствии его можно будет оспорить в суде.
Согласование протокола разногласий внутри компании
Иногда юридический отдел получает просьбу посмотреть договор до того, как он будет официально отправлен на согласование контрагенту: коллегам хочется понять, насколько серьезными будут замечания юристов и финансистов. Чаще всего юристы знают, какие замечания будут к договору у бухгалтеров и финансового отдела, и могут заранее сообщить о них. В таких случаях замечания могут быть внесены в текст договора изначально, и протокол разногласий может не понадобиться совсем. Но юридический отдел должен предупредить коллег, что в том случае, когда к такому тексту все же появятся замечания у других служб, придется объяснить контрагенту, что предварительное согласование, к сожалению, не означало готовности подписать договор именно в такой редакции.
Когда договор поступает в юридический отдел, очень часто хочется переделать две трети текста или сразу написать новый, потому что договоры содержат орфографические и синтаксические ошибки, противоречат Гражданскому кодексу РФ или вообще подготовлены на основе шаблона совсем другого вида договора, что вызывает негодование очень многих юристов. Иногда из текста договора возникает ощущение, что контрагент (например, покупатель) считает поставщика обязанным заплатить покупателю за сам факт заключения договора, поскольку санкции предусмотрены совершенно несимметричные и нелогичные.

Перед тем как писать протокол разногласий на десяти листах, придираясь к каждому слову, нужно созвониться с менеджером, который инициировал заключение договора, и спросить: насколько контрагент важен, какие условия принципиальны для контрагента и что в договоре не нравится самому менеджеру.
Это не значит, что юристу придется учитывать все такие дополнительные пожелания. Зато коллеги будут убеждены, что не только они делают все, что в их силах, для подписания договора. Это способствует хорошим отношениям между юристами и другими отделами, что важно в тех случаях, когда юристам нужно убедить другие отделы в своей правоте, а не просто потребовать предоставить информацию.
После получения информации от коллег юристы делают окончательные выводы о необходимости протокола разногласий.
Отдельный вопрос – в какой срок нужно проверить договор.
Менеджеры отправляют его в юридический отдел, будучи уверенными, что ничего более срочного и важного у юристов нет, поэтому, скорее всего, уже через два–три часа у юристов раздастся звонок с вопросом: почему договор до сих пор не согласован.
Как правило, Положением о согласовании договоров предусмотрен срок, значительно превышающий тот, в который коллегам из других отделов хотелось бы получать согласования, поэтому всегда можно сослаться на локальные акты, принятые в компании. Однако это не спасет от повторного звонка еще через полчаса, а потом еще через час – уже от руководителя такого отдела, недовольного тем, что юристы некачественно работают.
Есть юристы, которые совсем не отвечают на звонки и даже внутри отдела общаются исключительно по электронной почте, но это все же крайность. Можно поступить очень просто: сообщить коллегам из других отделов, какие еще срочные договоры находятся на согласовании (прекрасно, если один из них инициирован дирекцией), и предложить им договориться между собой, кто важнее для компании. В этом случае желание вести торг с юристами за срочность согласования, как правило, пропадает.
После написания протокола разногласий договор попадает на согласование в финансовый отдел и бухгалтерию, и по итогам количество разногласий может вырасти.
Согласование разногласий с контрагентами
У протокола разногласий нет обязательной формы, но составление его в письменном виде удобнее, чем чтение договора вслух по телефону.
Некоторые компании предпочитают согласованные протоколом разногласий изменения внести в итоговый текст договора (а не оформлять отдельным приложением), чтобы сократить количество документов. Обычно это устраивает обе стороны. Однако на такой вариант стоит соглашаться, только если он позволяет проследить, какие именно изменения были добавлены в первоначальный текст.
Иногда контрагенты считают возможным выделить изменения в тексте договора с помощью заливки текста изменений каким-либо цветом, не используя специальный режим текстового редактора (например, «Исправления» в Word). В этой ситуации, как и в любой другой, юристам нужно настоять на составлении письменного документа. К сожалению, бывают ситуации, когда цветом оказываются выделены далеко не все изменения, на самом деле внесенные в текст. Текстовые редакторы позволяют достаточно быстро провести построчную сверку документа, но лучше изначально договориться о составлении его в конкретной форме.
В разных компаниях ответственным за согласование протоколов разногласий с контрагентом является или менеджер, который ведет договор, или юридический отдел.
Обычно менеджер, который ведет договор, получает протокол разногласий к договору для обсуждения с контрагентом. Иногда контрагент соглашается с разногласиями, и на этом согласование заканчивается, но очень часто менеджеру нужна помощь юристов при обсуждении разногласий.
В некоторых случаях менеджер, получая договор с протоколом разногласий для дальнейшего обсуждения с контрагентом, сообщает своему юристу, что договор можно подписать только в редакции контрагента, который не согласен ни на какие правки.
Очень часто на самом деле это не так, но менеджеру просто не хочется заниматься переговорами. Если юридический отдел считает, что риски по договору серьезные, то руководитель отдела пишет свое заключение к договору и обосновывает необходимость протокола разногласий.
Крайней мерой можно назвать отказ юристов от визирования договора на таких условиях на основании написанного заключения – в этом случае решение о том, в какой редакции договор будет передан контрагенту, принимает генеральный директор. Юристы также должны обратить внимание дирекции на то, что менеджеры могут меняться, но договоры подписываются от имени компании, и все риски останутся в компании, даже если менеджер сменит место работы.

How to act when reconciling disagreements

When writing protocols of disagreements, you often have to deal with surprise by the representatives of the counterparty. They say their lawyers never write protocols of disagreements, or their company only works under their standard contract and does not consider any suggestions to amend it.
In such cases, you always want to call the colleague who initiated the contract (this can be an employee of sales or procurement department, etc.), and ask them to look for another counterparty, with whom it will be easier to cooperate. However, this may not be possible - the decision of the counterparty, as a rule, depends on the economic considerations of the company.
Therefore, lawyers should be first and foremost mediators, and not only with contractors, but also with their own colleagues, when writing and negotiating the protocol of disagreement. Both of them have to explain that despite all economic benefits of the contract that is being prepared, some of its provisions still need to be amended, as they pose very high risks for the organization.
The contract has to be signed with the available counterparty, and only on its terms. What should a lawyer do to protect his company?
You need to find out what risks may arise from such a contract and how to mitigate them.
An example of unreasonable claims of the counterparty at the stage of concluding a contract.
In late 2011, companies with state participation started to send requests to their counterparties to disclose ultimate beneficiaries under the threat of contract termination.
The Civil Code of the Russian Federation does not provide for such an obligation for the contracts already concluded.
Moreover, the requirement was sent out for official use on the basis of the resolution issued by the Government of the Russian Federation, which was not registered by the Ministry of Justice of the Russian Federation and was in conflict with the provisions of the Civil Code of the Russian Federation and the federal law.
At the same time, the threat of the contract termination was quite real.
In such a situation, the organizations that received such letters had only to weigh up, on the one hand, the risks caused by the disclosure of such information and the costs of its provision, and, on the other hand, the importance of keeping the contract with this particular counterparty. It was also necessary to check whether the contracting state company had the right to unilaterally withdraw from the contract. In fact, failure to provide the requested information about the ultimate beneficiaries could not serve as a valid reason to terminate the contract.
Furthermore, it should always be remembered that even contracts of monopolistic companies are invalid to the extent that they conflict with the law. This means that even if you have to agree upon an unfair clause that conflicts with the law at the contracting stage, you can dispute it in the court later on.
Negotiating a protocol of disagreement in the company
Sometimes the legal department receives a request to review the contract before it is officially sent to the counterparty for approval: colleagues want to understand how serious the comments of lawyers and financial experts will be. In most cases lawyers already know what kind of comments the accountants and financial department might have about the contract, and they can report them in advance. In such cases, the remarks can be included in the text of the contract from the very beginning, and the protocol of disagreement may not be necessary at all. However, the legal department should warn colleagues that in case this text does come up with the comments from other services, you will have to tell the counterparty that the prior approval, unfortunately, did not mean a willingness to sign the contract in this version.
When the agreement is submitted to the legal department, it is quite common that one wants to redo two thirds of the text or write a new one right away, since the agreements contain spelling and syntax errors, conflict with the Civil Code of the Russian Federation or are even prepared based on a completely different kind of contract template, which makes a lot of lawyers angry. Sometimes one may have a feeling that a counterparty (e.g. buyer) thinks that supplier is obliged to pay the buyer for the very fact of concluding the contract, as the sanctions imposed are completely unbalanced and inconsistent.
RECOMMENDATION
Before you write a protocol of disagreement in ten pages, picking on every word, you need to call the manager who initiated the contract, and ask the following: how important is the counterparty, what conditions are important to the counterparty and what exactly in the contract manager does not like.
This does not mean that a lawyer will have to consider all of these additional wishes. However, colleagues will be reassured they are not the only ones doing everything they can to get the contract signed. This promotes a good relationship between lawyers and other departments, and this is important when lawyers need to convince other departments they are right, rather than just requesting information.
After receiving information from colleagues, lawyers make final conclusions whether a protocol of disagreement is required.
A separate question is how long does it take to review the contract.
Managers submit it to the legal department, being confident that the lawyers do not have anything more urgent and important, so it is likely that after two or three hours, the lawyers will get a call asking why the contract has not been agreed.
Normally, the Regulation on the approval of contracts stipulates a period of time that is substantially longer than that within which colleagues from other departments would like to receive approval, so you can always refer to the local acts adopted by the company. However, that will not save from a second call in another half an hour, and then another hour - this time from the head of department, who is not satisfied with the work done by lawyers.
There are lawyers who do not answer phone calls at all and even communicate within the department solely by e-mail, however, this is still an extremity. You can do a very simple thing: let your colleagues from other departments know what other fixed-term contracts are being negotiated (it is fine if one of them is initiated by the Directorate), and invite them to negotiate with each other, who is more important for the company. In this case, there will be no desire to bargain for the urgency of approval with lawyers.
After writing a protocol of disagreement, the contract is submitted to the financial and accounting departments for approval, resulting in a greater number of disagreements.
Negotiating disagreements with counterparties
The protocol of disagreement does not have a mandatory form, however, it is easier to prepare it in writing rather than reading the contract aloud over the phone.
Some companies prefer to incorporate the amendments agreed upon in the protocol of disagreements into the final text of the contract (rather than drawing up a separate appendix) in order to reduce the number of documents. This usually works out for both parties. However, you should only agree to this option if it allows you to trace exactly what changes have been made to the original text.
Sometimes counterparties find it possible to highlight changes in the text of the contract by filling in the text of the changes with some color, without using a special text editor mode (such as "Corrections" in Word). In this situation, like in any other, lawyers need to insist upon a written document. Unfortunately, there are situations where not all changes that were actually made to the text are highlighted in color. Text editors allow a fairly quick line-by-line reconciliation of the document, although it is better to agree on drafting it in a precise form first.
In different companies, the person responsible for agreeing protocols of disagreements with the counterparty is either the manager who is running the contract, or a legal department.
Generally speaking, a manager who runs the contract will get a disagreement protocol to the contract in order to discuss it with the counterparty. In some cases, the counterparty agrees with the disagreements, and that is where the negotiation ends, although quite often a manager needs a legal assistance in discussing disagreements.
In some cases, a manager receives an agreement with the protocol of disagreements for a further discussion with the counterparty, tells his lawyer that contract can be signed only in the version of the counterparty, who does not agree with any revisions.
Quite often this is not actually the case, yet the manager simply does not want to be involved in negotiations. If the legal department thinks that the risks under the contract are substantial, then the head of department will write his own opinion on the contract and justify the need for the protocol of disagreements.
An extreme measure can be considered a refusal of lawyers to sign the contract on such terms based on the written report - in this case, it is CEO who decides which version of the contract will be given to the counterparty. Lawyers should also draw the attention of directorate to the fact that managers can rotate, yet the contract is signed on behalf of the company, and all the risks will be retained by the company, even if the manager will change the job.
Attention! Disagreements under the contract must be agreed within the period established by the Civil Code of the Russian Federation
Lawyers should remember that the deadline for reconciliation of disagreements is established by the Civil Code of the Russian Federation and is equal to 30 days starting from the date of their receipt (receipt of a new offer instead of acceptance). On the one hand, it is the party to which the disagreement has been submitted, that should take the measures to resolve it. However, on the other hand, usually both parties are interested in concluding a contract, and if the protocol of disagreements is not agreed upon, the contract will be considered unconcluded.
Sometimes the counterparty's lawyers refuse to communicate over the phone, even with the lawyers. In this case, you should try to get an email address and reconcile disagreements through the correspondence. Each party may have a principled position on the terms of contract. In the case when it is necessary to conclude the contract, parties have substantial disagreements, the dispute can be taken to the court, if there is an agreement between the parties on this.
Generally speaking, if the counterparty's legal department has serious objections to the protocol of disagreement, the lawyers call or meet up and discuss the terms of the contract where the agreement cannot be reached. More often than not, the lawyers know which clauses they can compromise in order to reach an agreement on the rest.
Then, a counterparty can write an agreement to the protocol of disagreement, or agreed version is made in the text of the protocol of disagreement or the text of the contract. In the contract, it must be always indicated that it has been drawn up with the protocol of disagreement.
