Ing. Kratochvíl privítal všetkých prítomných na porade vedenia spoločnosti. Do programu porady účastníci nenavrhli pridať žiadne body.
Na začiatku Ing. Kratochvíl upozornil na zhoršovanie disciplíny v spoločnosti, pričom ako príklad uviedol zlú koordináciu dopravy zamestnancov na školenie na východnom Slovensku a požiadal prítomných, aby sa podobné prípady neopakovali.
Okrem toho opakovanie upozornil na dodržiavanie dohodnutých pravidiel pri plánovaní presunov zamestnancov v rámci NAFTA a.s.

Kontrolu plnenia úloh z porady vedenia vykonal Ing. Hollý.
Boli vypustené úlohy:

Pri úlohe 5/2007/3 bol termín zmenený na 30. 09. 2007
Úloha 10/2006/6
Úloha 1/2007/5 (vybavenie áut z carpoolu GPS) z porady úseku GR, bude vypustená. Ing. Ševera predloží krátku informáciu o využívaní systému na budúcu poradu a potom bude informácia poskytovaná kvartálne.
Vo väzbe na úlohu o pokračovaní presunu áut do carpoolu prebehla širšia diskusia na tému „doprava“ a eliminácia straty divízie služieb.
Ďalšia diskusia sa týkala činnosti a riešenia účtovných/daňových otázok organizačnej zložky Nafta Exploration v ČR. Úloha 7/2006/5 zostáva v platnosti, kompetentní zamestnanci znovu zvážia možné riešenia a návrh predložia na nasledujúcu poradu.
Úloha 4/2007/4 bola vypustená a nahradená novou trvalou úlohou.:

Informácie o ekonomickej činnosti divízie služieb a divízie POS a V kvartálne predkladať na poradu vedenia ako súčasť mesačného reportingu.

2. Informácie zo zasadnutia predstavenstva 22. 06. 2007
Ing. Bohumil Kratochvíl prítomných oboznámil o bodoch prerokovaných na zasadnutí Predstavenstva NAFTA a.s., ktoré sa konalo dňa 22. júna 2007 v SPP a.s. v Bratislave:
- schválenie zmeny na poste predsedu predstavenstva – od 1. 7. 2007 bude predsedom predstavenstva Bernd Wagner a podpredsedom Jean-Jacques Ciazynski,
- schválenie zmlúv s: Gas & Oil Engineering s pripomienkou, MI Swaco, Geofyzika Krakov (na 1 vrt) a 2 zmluvy s NSG Gbely,
- informácia o predpokladaných východiskách pre tvorbu plánu na rok 2008 – predpoklady boli odsúhlasené s výnimkou zvýšenia nákladov na ĽZ. Predstavenstvo súhlasilo s rastom osobných nákladov v roku 2008 maximálne vo výške plánovanej inflácie. Vyšší nárast miezd však predstavenstvo nevylučuje, v prípade, že bude spojený s rastom produktivity práce. Pri tejto príležitosti Ing. Kratochvíl požiadal riaditeľov úsekov a divízií, aby pri tvorbe organizačnej štruktúry na rok 2008 zvážili možnosti jej optimalizácie s cieľom zvýšenia produktivity práce.

- Zmena sídla – kvôli príprave projektu prevádzkovej budovy je potrebné urýchliť rozhodnutie o rozdelení na administratívnu a prevádzkovú časť firmy, vo veci administratívnej budovy čakáme na rozhodnutie SPP,

3.1 Mesačný reporting
Ing. Hollý prezentoval predložený dokument, zosumarizoval a zdôvodnil vývoj hospodárskeho výsledku spoločnosti. Podrobnejšie sa pristavil pri hodnotení hospodárskych výsledkov jednotlivých divízií, z ktorých DS a divízia POSaV vykazujú stratu.
DS: dôvodom súčasného stavu sú najmä problémy v oblasti dopravy - Ing. Kratochvíl v tejto súvislosti zhrnul, že v súčasnosti treba sledovať vývoj hosp. výsl., na základe ktorého možno uvažovať o externom zabezpečení služby alebo o zmenách interných cien. Zvýšenie cien by prichádzalo do úvahy v prípade, že by išlo o internú službu, ktorú považujeme za strategickú a chceme si ju zachovať ako internú, alebo nie je dostupná na trhu.
Divízia POSaV: vykazuje v súčasnosti stratu, nakoľko v sledovanom období nebola realizovaná vrtná činnosť.

Mr. Kratochvíl welcomed everyone present to the company management meeting. The attendees did not propose to add any items to the agenda of the meeting.
At the beginning, Mr. Kratochvíl warned about the worsening of discipline within the company. As an example, he mentioned poor coordination of transportation of employees to the training in East Slovakia, and he asked the members present to ensure that similar incidents were not repeated.
In addition he repeatedly warned that it is necessary to uphold the agreed-upon rules for planning of employee transport within NAFTA a.s.

The following tasks were deleted:
5/2007/2, 5/2007/6, 4/2007/2.
In task 5/2007/3, the date was changed to September 30, 2007
Task 10/2006/6
Task 1/2007/5 (equipping the carpool cars with GPS) from the CEO Section meeting will be deleted. Mr. Ševera will submit brief information about the use of the system to the next meeting, and then the information will be provided quarterly.
In relation to the task regarding the continued transfer of cars to the carpool, there was a wider discussion on the theme “transport,” and about the elimination of the Service Division’s loss.
Further discussion concerned the activities and solutions to accounting/tax matters of the Nafta Exploration organizational unit in the ČR. Task 7/2006/5 remains in effect, the employees in charge will reconsider possible solutions, and they will submit their proposal to the following meeting.
Task 4/2007/4 was deleted, and was replaced by a new permanent task:

To quarterly submit information on the economic activities of the Service Division and the WO&D Division to management meeting as a part of Monthly Reporting.

Tasks resulting from the list of recommendations:
Risk management – Task No. 1 – the proposal was submitted and will be discussed with the CEO,
Task No. 8 – the position of Safety Specialist will be filled from August 1, 2007.
The appendix to the checking of fulfillment of tasks about the state of well and centre abandonment was without comments, in the “Overview of contracts concluded before…” appendix, there will be a formal modification in the contract with SPA.
Mr. Kratochvíl had no comments to the checking of fulfillment of tasks from the CEO Section meeting.
2. Information from the Board of Directors meeting held on June 22, 2007
Mr. Bohumil Kratochvíl informed the present members about the items discussed at the NAFTA a.s. Board of Directors meeting, which was held on June 22, 2007 in SPP a.s. in Bratislava:
- Approval of changes to the post of Chairman of the Board of Directors – from July 1, 2007 Bernd Wagner will be the Chairman of the Board of Directors, and the Deputy Chairman will be Jean-Jacques Ciazynski;
- Approval of contracts with: Gas & Oil Engineering with a comment, MI Swaco, Geofyzika Krakov (for 1 borehole), and 2 contracts with NSG Gbely;
- Information about the expected starting points for the creation of the 2008 plan – the expectations were approved with the exception of increased HR costs. The Board of Directors agreed with the growth of personal expenses in 2008, in the maximum amount of the planned inflation. However, the Board of Directors does not rule out higher wage growth, if it is connected to a growing productivity of work. At this occasion, Mr. Kratochvíl asked the Section and Division Directors, when creating the 2008 organizational structure, to consider the possibility of its optimizing with the aim to increase productivity of work;
- Approval of Sponsoring Strategy and Monthly Reporting for the time period of January - April, 2007;
- Information on the preparation of new gas market rules
- State of projects:
- Change of Location – due to the preparation of Operation Building project, it is necessary to speed up the decision for dividing the company into administrative and operation sections. For matters concerning administration building, we are awaiting the decision of SPP;

- The following Board of Directors meeting will be held on June 22, 2007 from 7:30 a.m. in the SPP a.s. building in Bratislava.

Mr. Hollý presented the submitted document, summarized it, and substantiated the progression of the company’s economic growth. He explained the economic results of individual Divisions in more detail, of which the SD and WO&D Divisions were showing a loss.
SD: the reasons for the current state are mainly problems in the area of transportation – to this, Mr. Kratochvíl summarized that it is necessary to presently monitor the development of economic results, on the basis of which it is possible to consider an external securing of services, or to change internal prices. A price increase could be considered if it regarded an internal service, which we consider strategic, and we would like to preserve it as internal, because it is not available on the market.
The WO&D Division: is currently showing a loss, because during the monitored time period, there were no drilling activities.

- Meeting with the Office of Public Health Care in the mater of noise study.
Marián Marcin
- Information on the confirmation of the satisfactory condition of the BIR 8005 rig;
- Continuation of well work-over operations at the underground storage facility;
- Continuation of negotiations on the contract with Pozagas concerning the provision of full liability for potential damages, which can occur during the provision of services by NAFTA a.s. After a discussion, Mr. Kratochvíl decided to answer this question by stating that NAFTA a.s. will contact the Chief Executive Officer of POZAGAS in writing.

- Drilling of the Vrbnica 1 borehole at the beginning of July, information on other prepared boreholes;
- Partner Seeking project – the 1st Data Room is under way (OMV), delivery of binding bids – by September 3, 2007;
- NAFTA a.s. storage possibilities – the document will be presented at the earliest management meeting, subsequently to the Board of Directors.
