Source text - Arabic خطأ الحكم المستأنف في تطبيق القانون وقضى في الدعوى مختلقاً واقعة ليس عليها أي دليل في الأوراق مخالفاً الثابت في ملف الدعوى وذلك عندما أورد في تسبيب قضائه برفض الدفع بسقوط وثيقة التحكيم بتجاوز الميعاد المحدد لإصدار الحكم، لما كان من المقرر أن مفاد نص المادة 210 من قانون الإجراءات المدنية أن اتفاق طرفي التحكيم على ميعاد محدد ليحكم المحكم خلاله لا يمنع من اتفاقهما بعد ذلك صراحة أو ضمناً على مد هذا الميعاد لمدة أو لمدد أخرى أو تفويض المحكم في تقرير هذا المد، لما كان ذلك وكان البند 38 من وثيقة التحكيم المبرمة بين الطرفين تنص على أن "وفقاً للمادة 36 من القواعد يتعين على هيئة التحكيم إصدار حكمها في غضون فترة ستة شهور من تاريخ استلام رئيس هيئة التحكين لملف القضية، وفي القضية الماثلة استلم رئيس هيئة التحكيم ملف القضية بتاريخ 5/6/2014 وعليه فأن هيئة التحكيم ينبغي عليها في الإطار العادي إصدار حكم التحكيم في 5 ديسمبر 2014 أو قبل ذلك التاريخ، في حال تطلب تمديد زمني وفقاً للمادة 36-3 من القواعد يجوز لهيئة التحكيم من تلقاء نفسها تمديد هذه الفترة لمدة ستة شهور إضافية بحد أقصى، وفي البند 39 على أن "علاوة على ذلك اتفق الأطراف أيضاً على أنه وفقاً للمادة 210 من قانون الإجراءات المدنية يكون للجنة التنفيذية في مركز دبي للتحكيم الدولي الصلاحية في تمديد موعد إصدار هيئة التحكيم للحكم النهائي عدة مرات حسب الطلب عملاً بحكم المادة 36-4 من القواعد.
Translation - English The Appealed Judgment misapplies law and decides the Case depending on a groundless fact which isn’t proved by papers and ignoring the facts given in the Case File. As stated in its reasoning, the Appealed Judgment dismisses the argument that the Arbitration Charter became null and void due to the expiration of arbitration period. Pursuant to Article 210 of the Civil Procedures Law, the parties may expressly or implicitly agree to extend this arbitration period or authorize the arbitrator to determine this extension even if the parties have agreed that the award shall be rendered within a specific period. In addition, Clause 38 of the Arbitration Charter signed between the Parties stipulates that: “Pursuant to Article 36 of the Rules, the Tribunal shall render an award within six months as of the date of receiving the Case File by the chairman of the tribunal.” With regard to the current Case, the Chairman received the Case File on 5/6/2014. Thus, the Tribunal must have rendered an award by maximum 5 December 2014 in the ordinary course of business. If an extension is required, the Tribunal may under Article 36-3 of the Rules automatically extend this period for maximum of six months. Clause 39 also reads as follows: “The parties have further agreed that the DIAC’s Executive Committee is empowered under Article 210 of the Civil Procedures Law to extend the date of rendering the final award several times, if required, in accordance with Article 36-4 of the Rules

This Exclusive Agency Agreement (“Agreement”) is made on this …. day of … 2017 between:

1. Territory
The territory agreed upon is the Emirate of Abu Dhabi (hereinafter the “Territory”).
2. Subject
The First Party hereby grants to the Second Party the exclusive right to distribute and sell the following Products in the Territory:

3. Basics
The Second Party will act as a sole agent for said products in the Territory and shall endeavor to uphold the Second Party interest in the Territory.
4. Commencement and Duration
This Agreement commences on the date first above written and is valid for a period of five (5) years there from. The Agreement shall be automatically renewed on for similar consecutive term(s) unless otherwise terminated in accordance with the provisions herein.
5. Scope of the Contract, Products
In line with the terms and conditions stipulated in this Agreement and with reservations made hereinafter, the First Party hereby grants the Second Party, and the Second Party accepts, the exclusive right to market, distribute and represent the Products within the Territory excluding any other products which may be produced and/or exported by First Party unless otherwise agreed by the parties in writing.
It is understood and agreed that the First Party shall not be responsible for any sales or shipments of Products to the Territory by any third party which the First Party can properly demonstrate that it had no knowledge of or cannot legally prevent and WIKA shall not be liable, to pay a commission or any other kind of compensation to the Second Party in such instance.
6. Commission on Direct Sales
In case of direct orders, the First Party may, upon notifying the Second Party in writing, sell directly to customers in the Territory and shall inform the Second Party accordingly without request.
As an exception to this Agreement, the Second Party shall in those cases be entitled to receive a commission for direct sales, or indirect sales caused by the incentive of the Second Party in the Territory. The applicable rate of the commission shall be 10% of the net FOB order value. For orders coming from the Territory without any direct or indirect incentive of the Second Party the commission shall be reduced to 6%.Such commission shall remain fixed unless otherwise agreed by the Parties in writing on special orders.

من المتعارف والمتفق عليه أن الطرف الأول غير مسؤول عن أي مبيعات أو شحنات يقوم الغير بتنفيذها داخل الإقليم على أن يثبت الطرف الأول حسب الأصول عدم علمه بها أو عدم قدرته على منع تداولها بشكل قانوني وفي هذه الحالة لا تكون شركة وايكا ملزمة بدفع أي عمولات أو تعويضات للطرف الثاني
6. العمولة المستحقة عن المبيعات المباشرة
يجوز للطرف الأول بناء على أوامر مباشرة بيع المنتجات للعملاء داخل الإقليم مباشرة شريطة أن يخطر الطرف الثاني بذلك خطياً.
وبخلاف ما هو منصوص عليه في هذه الاتفاقية يحق للطرف الثاني في هذه الحالة الحصول على عمولة عن المبيعات المباشرة أو غير المباشرة التي تتم بتحفيز منه داخل المنطقة، وتكون العمولة المطبقة 10% من صافي قيمة الطلبات التي تشمل التسليم على ظهر الباخرة، ويتم تخفيض العمولة إلى 6% بالنسبة للطلبات التي تأتي من الإقليم دون تدخل مباشر أو غير مباشر من الطرف الثاني، وتظل هذه النسبة ثابتة مالم يتفق الطرفان على خلاف ذلك خطياً بخصوص الطلبات الخاصة.

The minutes are expected to provide new indications about the future of the Bond-Buying Program which stimulates the European economy. There are strong predictions in the market that the Bank would decrease the amount of the Program before its expiry date falling in the end of this year.
