The Distributor acknowledges that each of its responsibilities under this Agreement is reasonable, proper and fundamental to the purpose of this Agreement and that (i) its failure to fulfill any of them would constitute a material breach of this Agreement, (ii) the occurrence of any material breach would seriously impair fundamental considerations upon which this Agreement is based, and (iii) the rights of termination or non-renewal reserved in this Agreement are necessary to permit XXX Inc. to remain competitive at all times.
Umgangssprachlich weiß ich, was gemeint ist: Ehrliche und ordentliche Geschäftsbeziehungen.
Aber gibt es dafür einen "verklausulierten" Ausdruck? Einfach nur "Treu und Glauben" als Überschrift? Der Rest wird ja im Absatz definiert.

Bei Termini mit Treue und Glauben habe ich den Verdacht, dass die Übersetzungen entspringen und dass niemand von sich aus darauf kommen würde, das so auf Deutsch auszudrücken..

: Der Ausdruck "Treu und Glauben" und seine Bedeutung gehören seit Urzeiten zum Lehrstoff des ersten Semesters.

: "nach bestem Wissen und Gewissen" ist zwar genauso ein Standardausdruck wie "Treu und Glauben", bedeutet aber etwas anderes, nämlich "to the best of one's knowledge and belief".
