Ciao Eugenia, "shall be any director" è una formula che viene usata e che significa "da qualsiasi amministratore (designato)" (ovvero che abbia diritto di voto), poi in seguito nel testo viene specificato anche il numero necessario per poter raggiungere il quorum. Questa è la mia interpretazione, spero che Gianna o altri possano confermare (o no!) così sarai più sicura. Buona giornata

Sono d'accordo con te, credo che la virgola sia di troppo. Aggiungo un po' di contesto:

PROCEEDINGS AT BOARD OF DIRECTORS
(a) The directors may meet together for the dispatch of business, adjourn and otherwise regulate their meetings, as they think fit. Questions arising at any meeting shall be decided by a majority of votes. (...)

(b) The quorum necessary for the transaction of the business of the directors, shall be any director. Should there be three or more directors, the quorum necessary shall be any number representing more than half of the company's directors.

La frase contiene una virgola che, sintatticamente parlando, non può separare un soggetto dal suo predicato. Quindi io non interpreterei come "the quorum shall be any director". Il contesto (se si trattasse di una lista di condizioni/criteri, per esempio) potrebbe aiutare a capire se la frase va interpretata diversamente o se, di fatto, l'errore c'è.
