Conste por el presente documento el contrato de Transferencia Temporal de Derechos a Cambio de Bonos y Fideicomiso de Cobranza y Garantía, que celebran de una parte:
1.- XXXX con R.U.C. N° xxxx, con domicilio en xxxx, distrito de xxxx, debidamente representado por su Presidente Ejecutivo, Sr. ZZZZ, con D.N.I. N° xxxx, según poderes inscritos en el asiento xxxx de la ficha xxxx del Registro Mercantil de Urna, y por su
Vicepresidente Gerente General, YYYY, con D.N.I. N°
xxxx, según poderes inscritos en el Rubro xxxx de la partida xxxx del Registro de Personas Jurídicas de Lima, a quien se le denominará la lA.
2.- ZZZZ S.A., COFlDE, con R.U.C. Nº 10011639, con domicilio en xxxx, en representación del Ministerio de Economía y Finanzas, en adelante el MEF, debidamente representada por su Gerente de Fideicomisos, Sr. XXXX, identificado con DNI Nº xxxx, y por su Gerente de Créditos, Sr. ZZZZ, identificado con DNI N° xxxx, ambos con poderes inscritos en la ficha N° xxxx del Registro Mercantil de Uma, a quien en adelante se le denominará ZZZZ.
El convenio se celebra en los términos y condiciones de las cláusulas siguientes:
PRIMERA:ANTECEDENTES
1.1 Mediante Decreto Supremo N° xxxx-EF, se autorizó a! Ministerio da Economía y Finanzas a emitir Bonos del Tesoro Publico, en adelante Bonos xxxx-EF hasta por la suma de US $ 400'000,000.00 (CUATROCIENTOS MILLONES Y 00/100 de DÓLARES DE LOS ESTADOS UNIDOS DE AMÉRICA). Asimismo, se autorizó a las empresas de operaciones múltiples del Sistema Financiero, (en adelante IFIS), a transferir temporalmente al MEF parte de su portafolio, para recibir a cambio los referidos Bonos xxxx-EF.
1.2 Por Resolución Ministerial N" xxxx-EF/xx, se designó a ZZZZ fiduciario de los Bonos D.S. xxxx EF y se aprobó el Reglamento Operativo para la aplicación de dichos Bonos, en adelante EL REGLAMENTO el que forma parte integrante del presente contrato como Anexo D. 1.3 Mediante Convenio de Fideicomiso de fecha xxxx, celebrado entre ZZZ y el Ministerio de Economía y Finanzas, éste autorizó a ZZZZ para que en su nombre y representación reciba de las IFIS el portafolio que le transfieren en contraprestación de los Bonos xxxx-EF que ZZZZ les haya colocado.
1.4 La Superintendencia de Banca y Seguros (SBS) mediante Oficio N° xxxx del 15 de Diciembre de 1 999 ha comunicado a ZZZZ que XXXX califica como beneficiario de este programa de Bonos del Tesoro Público xxxx-EF al cual puede acogerse hasta por un monto de USD 34,500,000 (TREINTA Y CUATRO MILLONES QUINIENTOS MIL Y 00/100 DÓLARES DE LOS ESTADOS UNIDOS DE AMÉRICA).

This document sets forth the Assignment of Temporary Rights in Exchange for Bonds and Collection & Guaranty Trusts, entered into by:
1.- XXXX, Tax Identification Number (R.U.C.) xxxx, residing at xxxx, district of xxxx, duly represented by his President & CEO, Mr. ZZZZ, national identity document (D.N.I.) no. xxxx, according to the powers of attorney filed under entry xx of the record no. xxxx of the Commercial Registry of Lima; and its Vicepresident and General Manager, Mr. YYYY, national identity document (D.N.I.) no. xxxx, pursuant to the powers of attorney recorded under heading xxxx of the certified record no. xxxx of the Registry of Legal Entities of Lima, hereinafter referred to as IFI.
2.- ZZZZ S.A., ZZZZ, Identification Number (R.U.C.) xxxx, domiciled at xxxx no. xxxx, representing the Ministry of Economy and Finance, hereinafter referred to as MEF, duly represented by Sr. XXXX, Trust Fund Manager, national identity document (D.N.I.) no. xxxxx; and by ZZZZ, Credit Manager, National Identity Document (D.N.I.) no. xxxx, both according to the powers of attorney filed under record no. xxxx of the Commercial Registry of Lima, hereinafter ZZZZ.
This agreement is executed under the terms and conditions contained in the following sections:
SECTION 1: BACKGROUND
1.1 By means of Supreme Decree no. xxx-EF, the Ministry of Economy and Finance was authorized to issue public treasury bonds, hereinafter S.D. xxxx-EF Bonds, for up to US$ 400,000,000 (FOUR HUNDRED MILLION U.S. DOLLARS). Likewise, companies with multiple operations in the financial system (hereinafter “IFIS”) were given authorization to temporarily transfer part of their portfolio to the MEF, in order to receive, in exchange, the abovementioned S.D. xxxx-EF bonds.
1.2 In accordance with Ministerial Resolution Number xxxx-EF/xx, ZZZZ has been appointed Trustee of the xxxx-EF bonds. Furthermore, the Operating Regulations for the use of bonds, hereinafter the “Regulations”, have been adopted, which constitute an integral part of this contract as Annex D.
1.3 Under a Trust Agreement dated xxxx, between ZZZZ and the Ministry of Economy and Finance; the latter authorized COFIDE to receive, in its own name and on its own behalf, the transference of the portfolio as consideration for the S.D. xxxx-EF bonds issued by ZZZZ.
1.4 The Superintendence of Banking and Insurance (SBS, in Spanish), under document number xxx, dated December xx, xxxx, has informed ZZZZ that XXXX qualifies as beneficiary of this xxxx-EF Public Treasury Bonds Program, which may be invoked for up to a maximum amount of US$ 34,500,000 (THIRTY FOUR MILLION FIVE HUNDRED THOUSAND U.S. DOLLARS)

What is the vision for XXXX?
It’s more than a vision.
We got the management together in Athens and we built a new YYYY.
It covers our vision and how we get there.
We ensured with the management that our vision and execution plans are aligned.
Today we’re announcing the start of that execution. It will take several quarters to complete, but we will see progress from the first quarter.

My name is Bárbara C. Alvarez and I am a Certified Translator. I graduated from the National University of La Plata (UNLP), Argentina in 2013.My mother tongue is Spanish and I work with both Spanish-English / English-Spanish translations. I have started my carreer as a freelance translator, both with direct clients and though translation agencies. Since I have always enjoyed teaching, I am also studying to graduate as a Teacher of English at the National University of La Plata (UNLP). I am highly experienced in Teaching English as a Second Language (TESOL): I have worked for several language centres and I am currently working as a Children Coordinator at Home Intercultural Learning in La Plata, Buenos Aires, Argentina. Not only do I teach children, but also adults who are studying to sit for international exams such as First Certificate, CAE, Proficiency, TOEFL, etc.
