Reference: Ref. Reference information: There is a gloss entry which may help. http://www.proz.com/kudoz/spanish_to_english/finance_general... GLOSSARY ENTRY (DERIVED FROM QUESTION BELOW) Spanish term or phrase: con cargo a beneficios del ejercicio English translation: charged against the financial/fiscal/year/period/profits At least for Spain, "beneficios" are "profits", same as "ganancias" elsewhere. The term "beneficios" is, as far as I know, only used in Spain. "Earnings" here in Spain are "ingresos", same as "income". IMHO. 1. Rendering the part of the resolution adopted by the General Shareholder’s Meeting on June 18, 2003 that had not been executed without effect, authori- ze the Company so that it may, directly or through any of its subsidiaries, and for a period not exceeding eighteen months from the date hereof, purchase, at any time and as many times as it may deem appropriate, shares in Vidrala, S.A., by any means permitted by law, including purchases ***** charged to the fiscal year’s profits *****and/or to free disposal reserves, and to subsequently dispose of and redeem the shares, in accordance with Article 75 and corresponding arti- cles of the Spanish Public Companies Act (“Ley de Sociedades Anónimas”). 4.- Reducir el capital social, con el fin de amortizar las acciones propias de Vidrala, S.A. que pueda mantener en su Balance, **con cargo a beneficios** o reservas libres y por el importe que en cada momento resulte conveniente o necesario, hasta el máximo de las acciones propias en cada momento existentes. 4. Reduce the share capital, in order to redeem the treasury stock of Vidrala, S.A. that it may have on its balance sheet, ***against profits*** or free disposal reserves and for the amount that at any given time may be deemed convenient or necessary, up to the maximum number of shares existing at any given moment. Not to devalue anyone's input (as it is against the rules), but I don't see anything in the text to indicate that it is "with interim dividends"! |
