Convention par laquelle une personne donne à une autre le pouvoir de poser des actes juridiques en son nom dans des limites précises qui sont fixées entre elles.

Le mandataire est tenu de respecter la volonté du mandant, mais n'est pas sous l'autorité de celui-ci pour la conduite générale de son activité.
Le mandat se distingue du contrat de travail en ce que le mandataire peut rompre le contrat en tout temps et qu'il n'est pas dans un état de subordination juridique vis-à-vis du mandant. Toutefois, il arrive fréquemment que les deux contrats se superposent l'un à l'autre, l'employeur pouvant confier à son employé des mandats produisant l'effet habituel de ce type de contrat. C'est ainsi qu'un préposé au personnel peut recevoir le pouvoir d'embaucher des employés sans perdre pour autant sa qualité de salarié de l'entreprise. agree  Bogdan Burghelea: Dar ştiţi, cumva, din întîmplare, cum se face proba contractului de mandat? Ta-da! Prin înscrisul numit procură/"power of attorney" în engleză. Nu sînt două documente: contractul de mandat este "negotium", iar procura este "instrumentum".
